Partnership\u00a0enables\u00a0a third party to entrust, for a given\u00a0time, a global mission dedicated to financing, conception, realisation or maintenance\u00a0of a building delivering public services. This mission is paid for the period of the contrat.<\/strong>[\/vc_column_text][\/vc_column][\/vc_row][vc_row gap=\u00a0\u00bb20″][vc_column width=\u00a0\u00bb1\/2″][vc_column_text]Competitive dialog<\/strong><\/span>
\nOn the contrary of a public tender which is managed by stricted rules,\u00a0PPP contract\u00a0follows a flexible procedure of consultation in order to\u00a0find a arrangment between the needs and expectations of the public entity and the technical, legal and financial offer of the private entity.<\/p>\n

RLB | SQA has developped a recognized know-how on the management of the competitive dialog because of assisting both sides of partnerchip (public and private parties) for many cases of PPP in France. We learnt from past experiences that the key point of this kind of contract isn’t how long the dialog is but the quality in negociation since the beginning of the dialog.<\/p>\n

\"\"[\/vc_column_text][vc_column_text]Coordination between all business consultants<\/strong><\/span>
\nOur experience\u00a0of this kind of missions taught\u00a0us that it is essential that\u00a0legal, financial and technical experts show a good cooperation.
\nIt is highly recommanded to ensure a perfect coordination\u00a0between all experts in order to plan\u00a0the mission in an efficient way\u00a0and to install a good comunication with the managing commettee in the different phasis of the project.[\/vc_column_text][\/vc_column][vc_column width=\u00a0\u00bb1\/2″][vc_column_text]The\u00a0contrat<\/strong><\/span><\/p>\n

The contractual documents must be precise, understandable by all and\u00a0show a fair share of risk between parties.\u00a0Success of the operation would depends on the ability of the public entity and the private entity to negociate a balanced position on several key points:<\/p>\n

Definition of needs : the partnership should find a balance between the necessity of the\u00a0public entity of flexibility and the necessity of the private entity to receive\u00a0precise obligations ;
\nPerformance definition and penalties principles is a key point of the PPP schema;
\nPayment procedure :\u00a0it should express principles explained bellow and it should be progressive enough in order to be incitative and not to be prejudicial for global cost of the project.\u00a0Experience show us that in case of penalties too high, it\u00a0is always counterproductive for the project. Indeed if\u00a0penalties\u00a0are too high, it occurs\u00a0a lack of cooperation because amounts aren’t\u00a0realistic, or\u00a0it could be\u00a0reflected on rents. That ‘s why we think it is important to define capped penalties so that the objectives\u00a0of the project are reached ;
\nIn case of contract breach, it is necessary to define indemnisation fees ;
\nGuarantees\u00a0: ask for appropriate amount of protection\u00a0to avoid \u00ab\u00a0overhedging\u00a0\u00bb\u00a0(guarantees + penalties).
\nControl of solvability and viability of the entity created\u00a0by the private side\u00a0should be carefully followed\u00a0because it could be successful only\u00a0whether\u00a0risks are fairly shared between all stakeholders of the project. This analysis takes also into account\u00a0legal issue.<\/p>\n

Then, the financial advisor is in charge of\u00a0analysing\u00a0risks of hedging about\u00a0construction overcosts\u00a0(ex: expected alea margin, commitment\u00a0of builder, standby credit line, insurance, etc.),\u00a0delay (ex: reserve account), financing\u00a0(ex: hedging rate),\u00a0maintenance (ex : commitment of\u00a0exploitation manager, insurance, etc.) and\u00a0renewal\u00a0(ex: provision rules).<\/p>\n

Finally, it is\u00a0necessary to check whether the entity which manages the project is able\u00a0to cope with residual risks in a technical point of view. And it is also important to\u00a0test\u00a0whether it helds enough share equity to cover these risks.\u00a0This analysis\u00a0must be done with sensibilityy testing.[\/vc_column_text][\/vc_column][\/vc_row][vc_row][vc_column]
